Boss bunny asked junior bunny to fill “all the eggs with jelly beans” as he pointed to a pile of eggs. Junior bunny said “ok as long as you pay me $100” boss bunny said “sure.” A few minutes later boss bunny added more eggs to the pile. Junior bunny finished putting jelly beans in the original eggs and asked for payment. Boss bunny refuses to pay Junior until he filled the new eggs that were added later. Will Junior bunny win if he sues boss bunny for breach of contract?
Subject Matter: Common law governs contracts for services and real property. UCC Article 2 governs contracts for the sale of goods. Herein, Junior Bunny is coming into an agreement to fill a pile of eater eggs with candy by boss bunny. It may be assumed that he is coming into contract for a service of filling in these eggs. Therefore, common law would govern. Manifestation of Assent: Mutual assent means the parties objectively agreed to the same bargain Herein, Bossy Bunny and Junior Bunny are formalizing an agreement for service through offer , acceptance, manifestation of assent, and consideration. Therefore, manifestation of assent is met. Formation: A contract is a legally binding agreement between two or more parties that creates mutual obligations enforced by law. For a contract to be valid, it must include offer, acceptance, manifestation of assent, and consideration. Offer: An offer is manifestation of willingness to enter a bargain that justifies the offeree in understating that assent is invited and will conclude the deal. It must show intent to be bound and reasonably definite terms. Herin, Boss Bunny is offering Junior Bunny $100.00 in exchange of him filing in the easter eggs. Therefore a clear offer is met. Acceptance: Acceptance is a clear and unequivocal manifestation of assent to the terms of the offer in the manner invited or required. Only the person with the power of acceptance may accept Herein, it may be assumed that Junior Bunny Accepted the offer by verbally accepting Boss Bunny offer and placing a service fee on it. Therefore, Junior Bunny accepted Boss Bunny’s offer. Consideration: Consideration requires a bargain for exchange of consideration. Herein, it may be assumed that there is a promise for performance. Boss Bunny promises to pay $100 to Junior Bunny for performing the filling in of the egg pile. Therefore, consideration has been met. Modification: Under common law a contract modification requires new consideration.
