That’s the value of four term sheets issued in the last two weeks for four deals - four different industries, a US deal, Ireland, UK and Australia. Two accepted with due diligence now under way. Two in negotiations . Term sheets are a great way to capture the core components of a deal and something that can be referred back to in the event of any disagreements later down the line. We generally present them after a formal presentation is gone through with the seller(s) that doesn’t just go through the financial and legal components of the deal but sells us a buyer (track record, future plans for the company etc). It’s a simple 4/5 page document - If anyone is interested in having a copy of the template we use like this post or comment and I’ll send it to you.

Hi all, recently I got several proposals of companies in trouble, steps away from liquidation. I am actually looking for companies operating well for a LBO, but I would be curious to get a feedback from you if you have ever acquired troubled companies Thanks, Philippe

Done lots of turnarounds, depending on the assets in the businesses, you could use a CVA to purchase the business if its asset rich. Otherwise drop into a CVL, do a deal with the IP to buy it back before you enter the process. if you think the business is worth £50k offer £10k and ask to repay the amount over two years. hit me up if you need help with distressed businesses.

Don’t write off under performing, once you find a strong business, an under performing one can be a good addition. You just take all the good bits like contracts etc and drop the debt. This will save you years building a business.
